The branch vs. the representative office

Setting up and conducting branches and representative offices of their own entities is counted as  forms of conducting business activities by foreign entrepreneurs in Poland. In Poland the Act on  freedom of  business activity regulates the terms of setting up and conducting representative offices and branches by foreign entrepreneurs. These forms are frequently chosen by foreign entrepreneurs, as they might be identical with the activity conducted in the country of origin, and allow to avoid the necessity of setting up new business entities which would have to be established and act under the Polish law and would be related to the foreign entrepreneur only in terms of the capital. A following table shows basic features of both forms of  conducting business activities by foreign entrepreneurs.

REPRESENTATIVE OFFICE

BRANCH

  • can conduct business activity exclusively in the promotion and the advertisement of the foreign entrepreneur
  • the entrepreneur must appoint an authorized person in the representative office to represent the foreign entrepreneur
  • is subject to an entry to the register of representative offices run by the Ministry of economy
  • the stamp duty for the entry to the register of representative offices  is 6,713 PLN

  • allows for conducting activity by a foreign entrepreneur
  • the entrepreneur must appoint  an authorized person at the branch to represent the foreign entrepreneur
  • is a subject to an entry in the register of entrepreneurs (KRS) conducted by the competent district court
  • the payment for the entry and for publications of a notice about the entry in the Court /Journal?/ and Economic Gazette is chargeable in the total amount: 1,500 PLN
